What you will be doing

To be a business partner to company stakeholders while at the same time ensuring an ethical balance
between commercial interests and minimising risk. The Senior Legal Counsel supports the business on a
diverse range of commercial legal topics, including advising on commercial law to internal stakeholders and
clients, reviewing commercial contracts and negotiating with third parties including in-house legal counsel
and instructing outside lawyers if required.

Subject areas are: IT law, cyber security data privacy, corporate law, intellectual property law, leasing, sales
& distribution, procurement, competition law, and other areas as the need arises. Advising on corporate law
and corporate maintenance from time to time.

Main responsibilities:

Work with and advise commercial teams on a wide range of commercial legal and legal compliance matters
including mainly issues relating to contract law, IT, Cloud Computing and cyber security laws

  • Provide guidance and practical solutions.
  • Logistics and distribution knowledge and experience in terms of contract law, latest incoterms changes,
  • sanctions, etc.
  • Reviewing, drafting and negotiating various of complex legal contracts examples include EMEA sales and
  • procurement framework agreements, supply, distribution, SaaS (Software as a Service), service and
  • technology licensing agreements.
  • Manage and provide legal advice and legal services relating to product liability and European cyber security
  • laws.
  • Identify and mitigate risks associated with various business practices and operations.
  • Interact and cooperate with internal stakeholders from the Company Headquarters in Japan.
  • Support the business and Legal Team on all legal aspects.

Who are you?

You are the type of individual who is flexible and eager to learn. You are a true team player but can work highly independently at the same time. You will further describe yourself as pro-active, and self-confident with great negotiation and coordination skills.

Your Knowledge & Skills

  • Qualified lawyer to practice law in the Netherlands.
  • Minimum 7 years of legal work experience (combination of law firm and in-house).
  • Experience in commercial contracting and transactions, preferably in the areas of IT/technology/IP
  • Highly preferred within the document solutions business
  • Contract negotiations and SLA agreements
  • Preference for postgraduate specialisation courses for lawyers (such as Grotius)
  • Strong written and oral communicator in English and the ability to translate and communicate complex legal matters/terms plainly and simply to stakeholders
  • Professional Dutch language skills (Minimum C2 level)
